1. Introduction and acceptance of terms
These Terms of Service ("Terms") govern the provision and use of services offered by Northbridge Editing Studio Ltd, a company operating as an editing studio with its principal business address at Northbridge Editing Studio, 27 Norfolk Square, London W2 1RS, United Kingdom ("Northbridge Editing Studio Ltd", "we", "us", or "our").
By placing an order, requesting a quotation, confirming a project, making payment, or otherwise engaging our services, you ("Client", "you", or "your") acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all services provided by Northbridge Editing Studio Ltd, including proofreading, copy editing, structural editing, manuscript critique, content rewriting, style guide development, and editorial quality assurance for digital content.
2. Scope of services
Northbridge Editing Studio Ltd provides editorial services intended to improve clarity, consistency, readability, grammar, style, structure, and presentation of written content. The specific scope of work for each project will be set out in a quotation, proposal, statement of work, email confirmation, or similar written communication.
- Proofreading: final-stage review for typographical, grammatical, punctuation, and formatting issues.
- Copy editing: correction and refinement of language, style, clarity, consistency, and basic factual or formatting issues where reasonably identifiable.
- Structural editing: review and proposed improvements to organisation, flow, coherence, and overall structure.
- Manuscript critique: evaluative feedback on strengths, weaknesses, and areas for revision without necessarily performing line-by-line editing.
- Content rewriting: substantial rewriting of provided text to improve clarity, tone, or audience suitability.
- Style guide development: creation of bespoke editorial and usage rules for a project, publication, or organisation.
- Editorial QA for digital content: review of digital copy for consistency, readability, formatting, and editorial defects prior to publication.
Unless expressly agreed in writing, our services do not include legal advice, medical advice, financial advice, plagiarism clearance, fact-checking beyond reasonable editorial review, subject-matter verification, or publication guarantees.
We may refuse, suspend, or discontinue any project where the content is unlawful, defamatory, misleading, abusive, infringing, harmful, or otherwise inappropriate in our reasonable opinion.
3. User obligations and responsibilities
You agree to:
- provide accurate, complete, and timely information necessary for us to perform the services;
- ensure that you have all rights, licences, permissions, and authority required to submit content to us and to use the edited output;
- promptly review drafts, queries, and deliverables and provide feedback or approvals within the agreed timeframe;
- retain backup copies of all source materials and project files;
- not submit content that is illegal, infringing, confidential without appropriate authorisation, or otherwise harmful;
- use the delivered materials responsibly and in compliance with applicable laws and third-party rights;
- understand that editorial services may involve subjective judgments and do not guarantee that a text will be free from all errors or meet every reader's expectations.
You are solely responsible for the final use, publication, distribution, and legal compliance of any content we edit, critique, rewrite, or review.
If you fail to provide necessary materials, instructions, or approvals, we may be unable to meet deadlines and shall not be liable for resulting delays.
4. Payment terms and conditions
Fees are based on the agreed quotation, hourly rate, fixed project price, retainer, or other pricing arrangement communicated by Northbridge Editing Studio Ltd in writing. Unless otherwise stated, all prices are exclusive of taxes, which may be added where applicable.
- We may require a deposit, partial upfront payment, or full prepayment before commencing work.
- Invoices must be paid by the due date specified on the invoice or quotation.
- Late payments may result in suspension of work, withholding of deliverables, and/or the charging of reasonable administrative costs and interest to the extent permitted by law.
- Any additional work requested outside the agreed scope may be charged separately.
- Third-party expenses, tools, licensing costs, or specialist resources required for a project will only be incurred with your prior approval unless otherwise agreed.
Where a project scope changes materially after commencement, Northbridge Editing Studio Ltd may revise the fee and timeline accordingly. Any revised quotation will be deemed accepted once you continue to instruct us, approve the changes, or otherwise proceed with the project.
5. Cancellation and refund policy
You may request cancellation of a project by written notice to Northbridge Editing Studio Ltd. Cancellations will be handled fairly and in line with the stage of work completed at the time of cancellation.
- If work has not commenced, refunds may be available less any non-refundable administrative or booking charges, if applicable.
- If work has commenced, we may retain payment for work performed, time reserved, and costs reasonably incurred up to the cancellation date.
- If a project is substantially complete, no refund may be due.
- Delivered services, completed deliverables, and bespoke editorial work are generally non-refundable once provided, except where required by applicable law or expressly agreed in writing.
Where we are unable to perform the services for reasons within our control, we may, at our discretion, offer a re-performance, partial refund, or full refund depending on the circumstances.
Any dissatisfaction must be reported in writing within a reasonable time after delivery, with clear details of the issues raised. We may, at our discretion, offer reasonable revisions within the agreed scope.
6. Liability limitations
To the maximum extent permitted by law, Northbridge Editing Studio Ltd shall not be liable for indirect, incidental, special, consequential, or punitive losses, including loss of profit, loss of business, loss of goodwill, loss of opportunity, or reputational harm arising from or in connection with the services.
Our total aggregate liability arising out of or in connection with any single project or set of connected services shall be limited to the amount paid by you to Northbridge Editing Studio Ltd for the specific services giving rise to the claim, except where a greater limitation is prohibited by law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
You acknowledge that editorial work is inherently judgment-based and may not identify every error, inconsistency, or issue in the source material. We do not warrant that edited content will be error-free, publication-ready, or accepted by any publisher, platform, regulator, or third party.
7. Intellectual property rights
Unless otherwise agreed in writing, you retain ownership of the source materials you provide to Northbridge Editing Studio Ltd, provided you have the legal right to submit them.
Upon full payment of all amounts due, and subject to these Terms, you will own the deliverables specifically created for you to the extent permitted by law, excluding:
- our pre-existing tools, templates, methodologies, processes, know-how, and working materials;
- generic editorial comments, feedback frameworks, and internal notes;
- any third-party content or materials incorporated under licence or subject to third-party rights.
We may, unless you object in writing, retain copies of completed work and may use anonymised or non-confidential excerpts for quality assurance, training, portfolio, or marketing purposes, provided no confidential information is disclosed.
You warrant that the materials you provide do not infringe any third-party intellectual property rights and that our use of such materials for the purpose of providing the services will not violate any law or third-party right.
8. Data protection and privacy
Northbridge Editing Studio Ltd will handle personal data in accordance with applicable data protection laws and our privacy practices. We will process personal data only where necessary to provide services, manage client relationships, comply with legal obligations, or pursue legitimate business interests.
You acknowledge that editorial projects may contain personal data or confidential information. You are responsible for ensuring that you have a lawful basis to share such data with us.
- We will take reasonable technical and organisational measures to protect client data.
- We will not sell your personal data.
- We may share data with trusted service providers only where necessary for service delivery, administration, or legal compliance.
- We will retain data only for as long as necessary for the purposes for which it was collected, unless a longer retention period is required by law.
For privacy-related enquiries, contact us using the details provided in Section 12.
9. Force majeure
Northbridge Editing Studio Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, power failure, internet or telecommunications disruptions, governmental action, or failures of third-party services.
Where a force majeure event occurs, we will make reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable. If the event continues for an extended period, either party may be entitled to terminate the affected services on written notice, subject to payment for work completed up to that point.
10. Changes to terms
We may update or revise these Terms from time to time to reflect changes in our business practices, service offerings, or legal requirements. The revised Terms will take effect from the date stated in the updated version.
Where changes are material, we may provide notice by email, website update, or other reasonable means. Your continued use of our services after the effective date of the updated Terms constitutes acceptance of the revised Terms.
11. Applicable law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the services provided by Northbridge Editing Studio Ltd, shall be governed by and construed in accordance with the laws applicable in England and Wales, unless mandatory law provides otherwise.

If such modification is not possible, the relevant provision shall be severed, and the remaining provisions shall continue in full force and effect.
